1. LEGAL INFORMATION & SCOPE
2. DEFINITIONS
Fluxbee: the company operating the services described herein.
Client: any individual or legal entity using, operating, renting, or making available Fluxbee equipment. This includes:

site operators (fixed or temporary venues)

individuals renting batteries via Fluxbee terminals
-
advertisers renting advertising space
End user: any person using a Fluxbee battery via a terminal.
Equipment: all terminals, batteries, screens, and associated hardware.
Software: the platform, programs, web and mobile applications supporting the services.
3. DESCRIPTION OF SERVICES
3.1 General principles
Fluxbee provides mobile charging and digital content distribution solutions via connected terminals integrating portable batteries, screens, and management software.
3.2 Battery rental service
Batteries are made available via terminals installed at partner locations or events. Equipment remains the exclusive property of Fluxbee.
3.3 Terminal rental service
Fluxbee may rent terminals to professional clients, including installation and remote management systems.
3.4 Screen rental & content distribution
Fluxbee offers digital content distribution via integrated screens, operated by Fluxbee, clients, or third-party advertisers.
3.5 Setup and installation
Fluxbee may provide setup services including configuration, installation, and testing, directly or via subcontractors.
3.6 Service evolution
Fluxbee reserves the right to modify services to improve quality, performance, or compliance.
4. INSTALLATION, OPERATION AND USE
4.1 General obligations
Clients must use equipment responsibly and in compliance with applicable laws and safety regulations.
4.2 Installation
Clients are responsible for site compliance and infrastructure where installation is performed by them.
4.3 Technical conditions
Clients must ensure proper power supply, secure environment, and protection against damage, theft, or unauthorized access.
4.4 Use by end users (applicable to end users)
The professional client remains responsible for site organization.
End users must:

use the batteries according to instructions

return them as required
4.5 Restrictions
Clients may not:

sublease or transfer equipment without authorization

use equipment for unauthorized purposes

distribute unlawful or inappropriate content
5. FINANCIAL TERMS AND PAYMENT
5.1 General principles
Financial terms are defined in contractual documents.
5.2 Pricing
Pricing may be fixed, usage-based, revenue-based, or hybrid.
5.3 Revenue sharing
Applies to net revenue unless otherwise agreed.
5.4 Payment terms
Invoices must be paid within agreed deadlines. Late payments may incur interest and service suspension.
5.5 Security deposit
Fluxbee may require a deposit to cover damage, loss, or unpaid amounts.

6. CONTENT DISTRIBUTION
6.1 Responsibility
Clients and advertisers are solely responsible for content and must ensure compliance with laws and rights.
6.2 Prohibited content
Illegal, misleading, harmful, or inappropriate content is strictly prohibited.
6.3 Regulatory compliance
Clients must comply with advertising and data protection regulations.
6.4 Performance
Fluxbee does not guarantee audience or performance.
6.5 Indemnification
Clients must indemnify Fluxbee against claims related to content.
7. LOSS, THEFT AND DAMAGE
7.1 Batteries
Non-returned or damaged batteries may be charged.
7.2 Terminals and screens
Professional clients are responsible for damage, loss, or theft.
7.3 End users (applicable to end users)
End users are responsible for non-return or misuse, within legal limits.
7.4 Limitation of liability
Fluxbee is not liable for misuse, subject to mandatory consumer laws.
8. OPERATIONS & TECHNICAL CONSTRAINTS
Clients are responsible for daily operations and supervision.
Fluxbee provides maintenance but does not guarantee uninterrupted service.
9. INTELLECTUAL PROPERTY, DATA AND CONFIDENTIALITY
9.1 Intellectual property
All assets remain the property of Fluxbee.
9.2 Data protection
Data is processed in compliance with GDPR.
9.3 Confidentiality
Parties must keep all exchanged information confidential for the duration of the contract and 3 years after.
10. LIABILITY, INSURANCE AND TERMINATION
10.1 Limitation of liability
Fluxbee is not liable for indirect damages.
This limitation does not apply:

in cases of gross negligence

where consumer protection laws apply
10.2 Insurance
Each party must maintain appropriate insurance.
10.3 Force majeure
Fluxbee is not liable for events beyond its control.
10.4 Termination
Fluxbee may suspend services in case of breach.
(This does not apply to end users where prohibited by consumer law.)
11. DURATION, RENEWAL AND MODIFICATION
Contracts apply for agreed durations.
Fluxbee may modify Terms with notice.
12. GOVERNING LAW AND JURISDICTION
These Terms are governed by Belgian law.
Disputes shall be subject to the courts of Fluxbee’s registered office, unless mandatory law provides otherwise.
13. SPECIFIC PROVISIONS FOR END USERS
End users acknowledge that:

batteries are provided temporarily

they must be returned according to instructions
-
non-return or damage may result in charges
End users benefit from all rights under applicable consumer protection laws.
Nothing in these Terms limits such rights.
